Tongue Translation Services Real Time Translation APIs

This Software License Agreement (the "Agreement") is made effective as upon acceptance of this agreement, and is by and between Tongue Translation Services, a company having its principal place of business at P.O. Box 245, Summerfield, FL 34492 ("Licensor"), and the individual or entity who is agreeing to these terms ("Licensee").

Recitals

WHEREAS, Licensor has developed certain software applications and platforms, including Tongue Translation Services Real Time Translation APIs and Tongue Translation Services Instant Translation APIs (the "Licensed Software");

WHEREAS, Licensee desires to use the Licensed Software solely for the purposes set forth herein;

NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Grant of License
A. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, and non-transferable license to use the Licensed Software solely for Licensee's business purposes.
B. This license is restricted to applications that are "family-friendly," as defined herein. "Family-friendly" applications are those that do not contain, promote, or otherwise involve content that is sexually explicit, violent, derogatory, discriminatory, or in any way deemed inappropriate for minors.
C. The Licensee shall not use the Licensed Software for any purposes that fall outside the scope of family-friendly applications. Any use of the Licensed Software that violates this condition shall be deemed a breach of this Agreement and will result in immediate termination of the License.

2. Restrictions

Licensee shall not:
A. Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Licensed Software;
B. Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Licensed Software;
C. Remove any proprietary notices from the Licensed Software.

3. Intellectual Property Rights

The Licensed Software is and shall remain the sole property of Licensor. Licensee does not acquire any ownership interest in the Licensed Software under this Agreement, or any other rights thereto other than to use the same in accordance with the license granted, and subject to all terms, conditions, and restrictions under this Agreement.

4. Term and Termination

A. This Agreement shall commence on the Effective Date and remain in effect until terminated by Tongues Translation Services LLC as set forth herein.
B. Upon termination, the license granted hereunder shall terminate and Licensee shall cease all use of the Licensed Software and destroy all copies of the Licensed Software in its possession.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Florida, USA, without giving effect to any choice or conflict of law provision or rule.

6. Fees and Payment

6.1 Licensee agrees to pay all fees associated with its use of the Services, including but not limited to, usage fees, setup fees, and fees related to concurrent connections. Fees are subject to change with prior notice from Licensor.
6.2 Payment shall be due according to the terms stated in the invoicing or payment terms provided by Licensor upon signup and/or purchase of Services.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL LICENSOR BE LIABLE TO LICENSEE OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOSS OF PROFITS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.

IN WITNESS WHEREOF, the Licensee hereto have executed this Software License Agreement as of the Effective Date as defined by the date of acceptance of this agreement.
